Urbanista tar ytterligare ett steg för att stärka sin ställning som ledande inom solenergidrivna audio produkter genom introduktionen av den solcellsladdade högtalaren Urbanista Malibu

STRAX dotterföretag Urbanista lanserar Malibu, världens första solcellsladdade högtalare som bygger på solcellstekniken Powerfoyle från Exeger. Efter de tidigare mycket framgångsrika lanseringarna av de solcellsladdade over-ear-hörlurarna Los Angeles 2021 och in-ear-hörlurarna Phoenix 2022 utökas nu familjen av solcellsladdade produkter med högtalaren Malibu, som kompletterar varumärkets sortiment i segmentet. Lanseringen av högtalaren Malibu befäster ytterligare Urbanistas position som marknadsledare i denna kategori av audioutrustning.

Lanseringen av högtalaren Malibu stärker också Urbanistas ställning inom flera hållbarhetsområden, bland annat återvunnen plast och återvunna textilier i produkten samt kartong och material i förpackningen, utöver fördelarna med ren energi i form av den inbyggda solcellstekniken Powerfoyle.

STRAX tar in investerare i sin europeiska distributionsverksamhet i en transaktion som värderar affärsenheten till 32 MEUR.

STRAX, specialisten på mobiltillbehör, har säkrat en investering om 10 MEUR från ZEBRA Invest GmbH, ett investmentbolag baserat i Tyskland, för en ägarandel om 50,1 procent av dess europabaserade distributionsverksamhet. Företagsvärdet (enterprise value) på STRAX europeiska distributionsverksamhet i transaktionen uppgår till 32 MEUR och transaktionen kommer vidare att sänka skulderna inom den återstående delen av STRAX med 12 MEUR. Affären är den första av flera transaktioner som STRAX arbetar med parallellt, varav de flesta beräknas avslutas under 2023.

Investeringen på 10 MEUR från ZEBRA genomförs i form av en ökning av aktiekapitalet i STRAX GmbH, moderbolaget i den europeiska distributionsverksamheten. Efter transaktionen kommer ZEBRA att äga 50,1 procent av STRAX GmbH, och STRAX AB kommer att äga återstående 49,9 procent. Transaktionen är i effekt per den 1 juli 2023, och från och med detta datum kommer STRAX europeiska distributionsverksamhet inte längre att ingå med full konsolidering i koncernredovisningen för STRAX AB utan kommer att redovisas med tillämpning av kapitalandelsmetoden.
Investeringen om 10 MEUR kommer att innebära en betydande förbättring av likviditeten i distributionsverksamheten. Transaktionen är villkorad av sedvanliga tillträdesvillkor.

STRAX GmbH kommer att fortsätta distribuera samtliga av STRAX varumärken i Europa, inklusive Urbanista, Clckr och Planet Buddies.

Den europeiska distributionsverksamheten genererade under 2022 en försäljning om 70,2 MEUR och ett rörelseresultat (EBIT) om 6,9 MEUR. Samtidigt som transaktionen kommer att minska STRAX konsoliderade årsomsättning och rörelseresultat innebär den också en minskning av personalstyrkan med 105 heltidsanställda och en minskning av OPEX med 50 procent. Transaktionen bidrar också med en vinstandel genom kapitalandelsmetoden, och minskar därmed påverkan på rörelseresultatet på koncernbasis. Dessutom kommer STRAX räntebärande skuld att minska med 12 MEUR.

– Vi förvärvade STRAX GmbH för 15 MEUR år 2006 och vi har lyckats få verksamheten att växa och utvecklas under ett flertal utmanande makroekonomiska cykler. Att i dag sälja huvuddelen av den europeiska distributionsverksamheten utgör en ny inriktning för STRAX, där vi går mot att bli en renodlad varumärkesfamilj (House of Brands) och behåller vårt betydande ägande i en ansedd europeisk distributör som ger mervärde. Att ta in Zebra, som vi känner väl, kommer ytterligare att möjliggöra för den europeiska distributionsverksamheten att utöka sitt värdeerbjudande inom logistiktjänster. Kapitaltillskottet om 10 MEUR kommer även att stödja tillväxt i kärndistributionen av mobiltillbehör. Den här transaktionen innebär verkligen win-win för alla parter. Det här den första transaktionen som slutförs i raden av dem vi har kommunicerat som pågående och ger därför indikationer på att också de övriga transaktionerna kommer att gå i lås, säger Gudmundur Palmason, VD, STRAX Group, i en kommentar till transaktionen.

STRAX brings an investor into its European distribution business in a transaction valuing that business unit at MEUR 32.

STRAX, the mobile accessories specialist, has secured MEUR 10 investment from ZEBRA Invest GmbH, a Germany based investment company, for 50.1% ownership of its European based distribution business. The enterprise value of the Strax European distribution business in the transaction is MEUR 32 and the transaction will furthermore reduce debt within remaining STRAX by MEUR 12. The transaction is the first of several STRAX is working in parallel, most of which are expected to close in 2023.

The MEUR 10 investment by ZEBRA is executed by way of a share capital increase in STRAX GmbH, the parent company of the European Distribution business. Subsequently ZEBRA will own 50.1% of STRAX GmbH with STRAX AB owning the remaining 49.9%. The effective transaction date is 1 July 2023 and from that date onwards the European distribution business of STRAX will no longer be considered as part of the consolidated financial statements of STRAX AB but accounted for using the equity method. The MEUR 10 consideration will significantly improve the liquidity of the distribution business. The transaction is subject to customary closing conditions.

STRAX GmbH will continue to distribute all STRAX brands in Europe, including Urbanista, Clckr and Planet Buddies.

The European distribution business generated sales of MEUR 70.2 and EBIT of MEUR 6.9 in 2022. While the transaction will reduce STRAX’s consolidated annual sales and EBIT it will also reduce headcount by 105 FTEs and OPEX by 50% and contribute with a share of profit through the equity method, therefore mitigating the EBIT impact on a consolidated basis. Additionally, STRAX interest bearing debt will effectively be reduced by MEUR 12.

Bringing in Zebra, whom we know well, will additionally enable the European Distribution business to expand its value proposition in the field of logistics services and the MEUR 10 capital injection will also support growth in the core distribution of mobile accessories. This is only the first transaction to close out of the ones that have been communicated as being worked on and as such provides for good momentum to bring the others over the line.”

Kommuniké från STRAX AB årsstämma

Vid dagens årsstämma i Strax AB (publ) beslutades att fastställa resultat- och balansräkning för moderbolaget och koncernresultat- och koncernbalansräkning för verksamhetsåret 2022. Vidare beslutades att de till årsstämmans förfogande stående vinstmedel ska balanseras i ny räkning. Årsstämman beslutade om ansvarsfrihet för styrelseledamöterna och verkställande direktören.

Beslutades att antalet styrelseledamöter ska vara fem (5) utan suppleanter för tiden intill nästa årsstämma. I enlighet med valberedningens förslag omvaldes Bertil Villard, Anders Lönnqvist, Gudmundur Palmason, Pia Anderberg och Ingvi Tyr Tomasson till ordinarie styrelseledamöter, samtliga för tiden intill slutet av nästa årsstämma. Stämman beslutade därtill att Bertil Villard skulle omväljas till styrelseordförande för tiden intill slutet av nästa årsstämma. Vidare omvaldes Mazars AB, med auktoriserade revisorn Samuel Bjälkemo som huvudansvarig revisor, och den auktoriserade revisorn Andreas Brodström, också verksam vid Mazars AB, som bolagets revisorer för tiden intill slutet av nästa årsstämma.

Beslut fattades om att styrelsearvodet förblir oförändrat i förhållande till föregående år och fastställs till 150 000 kronor vardera till styrelseledamöter som anses vara oberoende i förhållande till bolagets större aktieägare samt fastställs till 225 000 kronor till styrelseordförande. Arvode ska därmed utgå utgå till Bertil Villard, Anders Lönnqvist och Pia Anderberg, varför styrelsearvode ska utgå med totalt 525 000 kronor. Beslutades även att revisorsarvodet, för tiden intill slutet av nästa årsstämma, ska utgå enligt löpande av bolaget godkänd räkning.

Vidare godkändes styrelsens förslag om att bemyndiga styrelsen att, längst intill tiden för nästa årsstämma och vid ett eller flera tillfällen och med eller utan företrädesrätt för aktieägarna, mot kontant betalning eller mot betalning genom kvittning eller med apportegendom, eller annars med villkor, besluta om emission av nya aktier, teckningsoptioner och/eller konvertibler, dock att sådana emissioner inte får medföra att bolagets registrerade aktiekapital eller antal aktier i bolaget ökas med mer än totalt 10 procent. Det tidigare, vid förra årets årsstämma, beslutade bemyndigandet avseende nyemission, gällde fram till årets årsstämma och har således upphört.

Årsstämman godkände styrelsens förslag om att bemyndiga styrelsen att fatta beslut om förvärv och överlåtelse av egna aktier. Förvärv och överlåtelse får ske enligt följande:

  1. Förvärv och överlåtelse av egna aktier får endast ske på Nasdaq Stockholm.
  2. Bemyndigandet får utnyttjas vid ett eller flera tillfällen fram till årsstämman 2024.
  3. Förvärv får ske av högst så många aktier att det egna innehavet vid var tid inte överstiger tio (10) procent av samtliga aktier i bolaget. Överlåtelse får ske av högst det antal aktier som förvärvats med stöd av detta bemyndigande.
  4. Förvärv och överlåtelse får endast ske till ett pris inom det på Nasdaq Stockholm vid var tid gällande kursintervallet, varmed avses intervallet mellan den på börsen noterade högsta köpkursen och lägsta säljkursen.

At today’s Annual General Meeting in Strax AB (publ) it was resolved to adopt the income statement and the balance sheet for the company, as well as the consolidated income statement and balance sheet for the year 2022. Furthermore, it was resolved that the distributable funds should be transferred to profit carried forward. The Annual General Meeting resolved to discharge the board members and the CEO from liability.

It was resolved that the number of members of the Board of Directors, for the time until the end of the next Annual General Meeting, shall be five (5) ordinary Directors and no deputy Directors. It was resolved, in accordance with the Nomination Committee’s proposal, that Bertil Villard, Anders Lönnqvist, Gudmundur Palmason, Pia Anderberg and Ingvi Tyr Tomasson are re-elected as members of the Board of Directors, all for the period until the end of the next Annual General Meeting. It was further resolved that Bertil Villard is re-elected as chairman of the Board of Directors for the period until the end of the next Annual General Meeting. It was further resolved to re-elect Mazars AB, with authorised public accountant Samuel Bjälkemo as auditor in charge, and the authorised public accountant Andreas Brodström, also at Mazars AB, as auditors for the period until the end of the next Annual General Meeting.

It was resolved that the remuneration for the members of the Board of Directors shall remain unchanged from the previous year, meaning that each member of the Board of Directors who is considered to be independent in relation to major shareholders shall receive SEK 150,000, and the chairman of the Board of Directors shall receive SEK 225,000. It is thus Bertil Villard, Anders Lönnqvist and Pia Anderberg that shall receive remuneration, whereas remuneration to the Board of Directors shall be paid with a total of SEK 525,000. It was further resolved that the remuneration to the auditor, for the time until the end of the next Annual General Meeting, shall be paid as per current account as approved by the company.

It was further resolved, in accordance with the proposal from the Board of Directors, to authorise the Board of Directors to, up until the next Annual General Meeting, on one or several occasions and with or without preferential rights for the shareholders against cash payment or against payment through set-off or in kind, or otherwise on special conditions to issue new shares, warrants and/or convertibles. However, such issue of shares must never result in the company’s issued share capital or the number of shares in the company at any time, being increased by more than a total of 10 per cent. The previous authorisation to issue new shares and which was given at last year’s Annual General Meeting, was valid up to this year’s Annual General Meeting and has consequently lapsed.

The Annual General Meeting resolved, in accordance with the Board of Directors’ proposal, to authorise the Board of Directors to resolve on the acquisition and sale of the company’s own shares. The following shall apply for acquisition and sale of the company’s own shares:

  1. Acquisition and sale of own shares shall exclusively take place on Nasdaq Stockholm.
  2. The authorisation may be utilised on one or several occasions until the 2024 Annual General Meeting.
  3. Shares may be acquired to the extent that the company’s holding of its own shares, on any occasion, does not exceed ten (10) per cent of the company’s total shares. Sale may be carried out of not more than the number of shares acquired under this authorisation.
  4. Acquisition and sale of shares may only take place at a price within the price interval, on any occasion, recorded on Nasdaq Stockholm, which refers to the interval between the highest buying price and the lowest selling price.

The year is off to a relatively good start when it comes to sales and gross margin development of our core mobile accessories products

The Group’s sales for the period January 1 – March 31, 2023, amounted to MEUR 19.3 (31.9) with a gross margin of 32.1 (19.2) percent.

The Group’s result for the period January 1 – March 31, 2023, amounted to MEUR -3.3 (-0.7) corresponding to EUR -0.03 (-0.01) per share.

EBITDA from remaining operations for the period January 1 – March 31, 2023, amounted to MEUR 0.2 (1.3).
 
Equity as of March 31, 2023, amounted to MEUR -9.5 (13.3) corresponding to EUR -0.08 (0.11) per share.
 
 
 Significant events after the end of the period

There were no significant events after the end of the period.

Delårsrapport nr 1 för räkenskapsåret 2023

Året har fått en relativt god start vad gäller omsättningsutveckling och bruttomarginaler för våra kärnkategorier inom mobiltillbehör.

Koncernens försäljning för perioden 1 januari – 31 mars 2023 uppgick till 19,3 (31,9) MEUR och bruttomarginalen uppgick till 32,1 (19,2) procent.

Koncernens resultat för perioden 1 januari – 31 mars 2023 uppgick till -3,3 (-0,7) MEUR, motsvarande -0,03 (-0,01) euro per aktie.

EBITDA från kvarvarande verksamhet under perioden 1 januari – 31 mars 2023 uppgick till 0,2 (1,3) MEUR.

Eget kapital per den 31 mars 2023 uppgick till -9,5 (13,3) MEUR motsvarande -0,08 (0,11) euro per aktie.

Notice to the Annual General Meeting

The shareholders of Strax AB (publ), Reg. No. 556539-7709, with its registered office in Stockholm, Sweden, are hereby summoned to the annual general meeting to be held on Thursday 25 May 2023 at 11:00 a.m. (CEST) at the offices of Advokatfirman Vinge, Smålandsgatan 20, Stockholm, Sweden.

Preconditions for participation in the Meeting
Shareholders who wish to participate in the Meeting must

firstly be included in the shareholders’ register prepared by Euroclear Sweden AB relating to the circumstances on Tuesday 16 May 2023,

secondly notify the company of their participation in the Meeting no later than on Friday 19 May 2023.

Notification to attend the Meeting
Notification to attend the Meeting can be made in writing to Strax AB, Mäster Samuelsgatan 10, SE-111 44, Stockholm, Sweden, by e-mail ir@strax.com. Shareholders should, when notifying attendance, provide their name, personal identification or corporate registration number, address, telephone number, shareholdings and, where applicable, details of the attendance of any representatives and/or assistants. In addition, the notification shall, if applicable, be supplemented with complete authorisation documentation such as certificate of incorporation and powers of attorney for representatives.

Nominee registered shares
To be entitled to participate in the Meeting, a shareholder whose shares are held in the name of a nominee must, in addition to providing notification of participation, register its shares in its own name so that the shareholder is recorded in the share register relating to the circumstances on 16 May 2023. Such registration may be temporary (so-called voting right registration) and is requested from the nominee in accordance with the nominee’s procedures and in such time in advance as the nominee determines. Voting right registrations completed by the nominee not later than 19 May 2023 are taken into account when preparing the share register.

Proxies, etc.
Shareholders who are represented by a proxy must authorise the proxy by issuing a dated power of attorney. If such authorisation is issued by a legal entity, an attested copy of a certificate of registration or similar must be attached. The power of attorney is valid one year from issuance, or such longer period as specified in the power of attorney, but maximum five years from issuance. The original authorisation and certificate of registration, where applicable, should be sent to Strax AB, Mäster Samuelsgatan 10, SE-111 44, Stockholm, Sweden, well in advance of the Meeting. The shareholders are reminded of their right to request information pursuant to Chapter 7, Section 32, of the Swedish Companies Act.

The nomination committee proposes re-election of Mazars AB, with authorised public accountant Samuel Bjälkemo as auditor in charge, and the authorised public accountant Andreas Brodström, also at Mazars AB, as auditors for the period until the end of the next Annual General Meeting. The proposition is in accordance with the Board’s recommendation.

Proposal to authorize the Board of Directors to resolve upon issue of new shares, warrants and/or convertibles (item 16)
The Board of Directors proposes that the Meeting resolves to authorize the Board of Directors to up until the next Annual General Meeting, on one or several occasions and with or without preferential rights for the shareholders, against cash payment or against payment through set-off or in kind, or otherwise on special conditions, resolve to issue new shares, warrants and/or convertibles. However, such issue of shares must never result in the company’s issued share capital or the number of shares in the company at any time, being increased by more than a total of 10 per cent.

The reason for the proposal and the possibility to deviate from shareholders’ preferential rights in the proposal is, among other things, to facilitate for the company to carry out acquisitions with payment in shares or to otherwise procure the financing of the company in an active and appropriate manner.

The CEO shall be authorized to make such minor amendments to the above resolution that may prove necessary in connection with the registration with the Swedish Companies Registration Office.

A resolution in accordance with the Board of Directors’ proposal shall only be valid where supported by not less than two-thirds of both the votes cast and the shares represented at the Meeting.

Proposal to authorize the Board of Directors to resolve to repurchase and transfer own shares (item 17)
The Board of Directors proposes that the Meeting resolves to authorize the Board of Directors to resolve on the repurchase and transfer of the company’s own shares, where the following shall apply;

1. Acquisition and sale of own shares shall exclusively take place on Nasdaq Stockholm.

2. The authorization may be utilized on one or several occasions until the Annual General Meeting 2024.

3. Shares may be repurchased to the extent that the company’s holding of its own shares, on any occasion, does not exceed ten (10) per cent of the company’s total shares. Transfer may be carried out of not more than the number of shares repurchased under this authorization.

4. Repurchase and transfer of shares may only take place at a price within the price interval, on any occasion, recorded on Nasdaq Stockholm, which refers to the interval between the highest buying price and the lowest selling price.

The purpose of the proposed authorization is to provide flexibility as regards the company’s possibilities to distribute capital to its shareholders and to promote more efficient capital usage in the company, which altogether is deemed to have a positive impact on the company’s share price and thereby contribute to an increased shareholder value.

A resolution in accordance with the Board of Directors’ proposal shall only be valid where supported by not less than two-thirds of both the votes cast and the shares represented at the Meeting.

Number of shares and votes
At the date of this notice there are in aggregate 120,592,332 issued shares and votes in the company. The company holds no own shares as of the date of this notice.

Majority requirements
Resolutions in accordance with items 16 and 17 above shall only be valid where supported by not less than two-thirds (2/3) of both the votes cast and the shares represented at the Meeting.

Complete proposals etc.
The annual report together with the auditor’s report and the remuneration report for the financial year 2022 and other documents will be presented by being held available at the company’s office on Mäster Samuelsgatan 10, SE-111 44 Stockholm and on the company’s website, www.strax.com, at least three weeks before the Meeting. The nomination committee’s motivated statement will be available on the address and website stated above at least four weeks before the Meeting. Copies of the documents will be sent to the shareholders who so requests and informs the company of their postal address.
